We are pleased to share our Fall 2026 Newsletter, featuring our latest perspectives on the middle-market M&A environment and the forces shaping deal activity as we head into the final months of the year.
The deal market continues to improve, but the environment remains complex. In this edition, we look at the factors influencing M&A activity, shifting investor appetite across sectors, and the continued evolution of private capital markets.
Key Highlights
Cascadia Capital is pleased to announce it acted as the exclusive financial advisor to McNally Industries (“McNally”), a portfolio company of Susquehanna Growth Equity (“SGE”), in securing a new debt facility led by Western Alliance Bank (“Western Alliance”). This financing solution will be used to refinance McNally’s existing facility.
Founded in 1942 and headquartered in Grantsburg, WI, McNally is a leading designer and manufacturer of precision-machined components, complex assemblies, and hydro-mechanical systems for mission-critical defense and industrial applications. The Company’s capabilities span design, test, and reverse-engineering, supporting a blue-chip customer base with an average tenure of more than 20 years, including relationships of more than 40 years with several of its largest defense and government customers. McNally is deeply embedded in customer supply chains anchored by contractual, program-of-record demand.
“Cascadia was a great partner to McNally and SGE throughout the process, and the team’s thoughtfulness was a real differentiator," said Kyle Squillario, Managing Director at Susquehanna Growth Equity. "We're pleased with the outcome and look forward to McNally's continued growth alongside the Western Alliance team.”
“Through a disciplined and competitive process, we attracted strong lender interest and delivered a financing solution that provides McNally Industries with the flexibility to continue executing on its growth strategy and delivering on its record backlog,” said Tom Mills, Head of Capital Markets at Cascadia Capital. “Following exclusivity, McNally closed on its new facility with Western Alliance in just two weeks, securing an ideal financing partner to support the company’s continued growth.”

The asset has been deemed a critical mineral resource by the US government and Cascadia’s Equity Capital Solutions (ECS) team is pleased to have helped facilitate a private / public partnership to secure this important reserve.
The transaction reflects the Cascadia team’s ability to develop tailored equity solutions for complex, often esoteric, middle-market transactions. Cascadia ECS works across sectors and geographies to connect institutional capital with companies and sponsors executing acquisitions, growth initiatives, recapitalizations, and other strategic initiatives.
Strategic Bauxite is an independent private equity sponsor and metals and mining sector specialist. The acquisition provides Strategic Bauxite with a vertically integrated, high-grade refractory bauxite platform in Guyana with significant long-term growth potential.
First Bauxite operates the Bonasika mining and beneficiation complex, producing high-purity refractory-grade bauxite for a range of industrial applications, including refractories and steelmaking, water treatment, flame retardants, abrasives and welding, and glass manufacturing. Its Bonasika operations are supported by an extensive mineral resource base with a mine life of more than 20 years, as well as additional opportunities across high-purity quartz sand and clay resources.
The transaction brought together private sector capital and significant U.S. federal government support to facilitate the acquisition and future growth of a strategically important critical minerals platform. The investment is expected to support increased production and expanded downstream processing and refining capabilities while creating additional value-added activity in Guyana.
“The First Bauxite transaction is a strong example of the unique opportunities that our Equity Capital Solutions platform specializes in — Cascadia formed a syndicate of highly sophisticated investors, fully aligned on the future of the Bonasika assets,” said Michael Kahn, Director, Equity Capital Solutions at Cascadia.
Sim Ketchum, Co-Head of Equity Capital Solutions at Cascadia Capital, added, “The deal is very timely given securing reliable, diversified sources of refractory-grade bauxite has become a priority for both the U.S. public and private sectors. We were pleased to advise Strategic Bauxite on the acquisition and its equity raise. It brings together private investment and the U.S. Department of War’s Economic Defense Unit around a high-quality, vertically integrated critical mineral operation with significant growth potential.”

This financing solution will be used to refinance Pioneer’s existing facility, fund capital expenditures, and pay transaction fees and expenses. This transaction marks a continued period of growth for Pioneer, which has seen continued strong performance through the first half of 2026.
Founded in 1945, Pioneer is one of the largest providers of outsourced metal surface finishing and treatments (anodizing, plating, hardcoat, electroless nickel, adhesive, and related value-added finishing) for mission critical components in North America. The Company processes ~550 million parts annually and offers ~490,000 unique finishing solutions across ten strategically located facilities in key manufacturing corridors throughout the Midwest, Pacific Northwest, and Mexico. Pioneer services a diversified base of thousands of customers in the aerospace & defense, semiconductor, automotive, and industrial end markets.
Pioneer has secured a financing structure aligned with its long-term growth strategy, providing the refinancing and working capital needed to fund ongoing company growth initiatives.
“We are grateful for TCW’s confidence in Pioneer’s leadership team and growth plan. This successful refinancing speaks to the quality of both and provides resources to facilitate strategic growth capital investment,” said Brandon Bethea, Co-Founder and Partner of Aterian Investment Partners.
“Pioneer’s scale and track record of consistent execution drew strong interest from the private credit market,” said Tom Mills, Head of Capital Markets at Cascadia Capital. “We were pleased to run a competitive process that delivered an attractive financing solution for Pioneer, partnering our client with TCW which will help drive the company’s continued growth and market expansion. It was a pleasure to partner with both the management team and Aterian.”

It is a moment we look forward to each year: a new group of talented young professionals joining our team, ready to learn the craft of investment banking and contribute to the work we do for our clients.
Cascadia has always believed that the strongest working relationships start early. That belief shapes how we bring on and develop new talent, and it reflects who we are as a firm: independent, collaborative, and committed to growing careers from the ground up.
We are proud to invest in the next generation of bankers, and we look forward to the energy, curiosity, and hard work this class will bring to Cascadia in the years ahead.
Welcome to Cascadia.
One of our favorite times of year is here.
We are thrilled to welcome our 2026 summer analysts to the Cascadia team. Over the summer, they will be jumping headfirst into real transactions, working alongside our deal teams, and getting a firsthand look at what makes Cascadia a different kind of investment bank.
At Cascadia, we genuinely invest in the folks who come through our doors, and we love watching them grow over the course of a summer. To our new summer analysts: we are glad you are here. We cannot wait to see what you bring to the team.
Cascadia Capital, an independent investment bank serving middle-market clients globally, today announced the launch of its Restructuring & Special Situations practice with the addition of veteran advisors Lorie Beers as Managing Director and Head of Restructuring & Special Situations, Carl Comstock as Director, and several additional professionals expected to join the team in the near term.
The new practice significantly expands Cascadia’s Capital Markets platform and enhances the firm’s ability to advise companies, financial sponsors, lenders, creditor groups, boards of directors, and other stakeholders navigating periods of operational, financial, or market dislocation. The team will provide advisory services across liability management, distressed mergers & acquisitions, recapitalizations, creditor advisory, rescue financings, strategic alternatives evaluations, and special situations transactions.
“Building a differentiated and fully integrated capital markets platform has been a major strategic priority for Cascadia,” said Michael Butler, Chairman and Chief Executive Officer of Cascadia Capital. “Lorie and Carl have built highly respected special situations advisory teams throughout their careers and bring a sophisticated, solutions-oriented approach to advising clients through complex situations. Their addition further strengthens our ability to deliver integrated strategic and capital structure advisory solutions to clients across all market environments.”
The Restructuring & Special Situations practice will operate within Cascadia’s Capital Markets Group alongside the firm’s Debt Advisory and Equity Capital Solutions capabilities, creating an integrated platform serving clients across both performing and stressed situations. The expansion comes amid growing demand for sophisticated advisory solutions as companies, sponsors, and lenders navigate increasingly complex financing and capital structure environments.
“Companies and investors today are facing increasingly complex capital structure and operating challenges, creating demand for sophisticated, industry-informed advisory capabilities,” said Tom Mills, Head of Capital Markets at Cascadia Capital. “Lorie, Carl, and the broader team bring decades of experience advising clients through highly complex situations, and their addition significantly enhances our ability to support clients throughout the full corporate lifecycle.”
Ms. Beers brings more than 35 years of experience spanning investment banking and legal advisory. Prior to joining Cascadia, she founded and led special situations practices at Intrepid Investment Bankers and Cowen. Throughout her career, she has advised companies and stakeholders across a broad range of industries experiencing financial, operational, or strategic disruption.
“One of the things that stood out most about Cascadia was the strength and depth of the firm’s industry banking platform,” said Ms. Beers. “In complex situations, sector expertise and longstanding industry relationships matter tremendously. Cascadia has built a team of true industry bankers with deep domain knowledge. We saw a compelling opportunity to combine that industry expertise with sophisticated liability management and special situations advisory capabilities in a way that is highly differentiated in the middle market, and particularly valuable for companies navigating critical inflection points.”
Mr. Comstock joins as part of the founding team and brings extensive experience advising management teams, lenders, boards, financial sponsors, and stakeholder groups in complex and special situations transactions. Over the course of his career, he has advised on transactions involving more than $50 billion in liabilities and completed dozens of distressed sale and recapitalization transactions across multiple sectors.
Collectively, the team has advised on transactions involving more than $100 billion in liabilities and completed more than 20 special situations advisory mandates since 2020 across a range of industries.
The addition of the new team continues Cascadia’s broader strategic expansion across its investment banking and capital markets platform as the firm continues to invest in growth across advisory capabilities, industry coverage, and senior talent.

Michael works closely with Co-Heads Sim Ketchum and Peter Purcell to support the continued expansion of Cascadia’s platform focused on connecting private equity sponsors and companies with differentiated sources of equity capital.
The expansion of Cascadia’s Equity Capital Solutions team reflects the firm’s continued investment in capabilities designed to address evolving capital markets dynamics. As middle-market sponsors pursue investments and acquisitions in a more competitive environment, access to reliable deal-by-deal equity capital has become increasingly important. “Private equity sponsors are operating in a more complex capital environment and increasingly require creative equity solutions to support growth and liquidity,” said Michael Butler, Chairman and Chief Executive Officer of Cascadia Capital. “We offer a platform that connects investors with compelling middle-market opportunities while helping our clients navigate these evolving market dynamics. His background in sourcing and executing equity capital solutions further enhances Cascadia’s ability to support sponsors seeking flexible capital and investors looking to deploy capital into high-quality middle-market opportunities.
“Having worked with Michael at prior firms we’re thrilled to add his deep network of deal-by-deal private equity investor relationships and corporate finance advisory skills to the platform,” said Sim Ketchum, Co-Head of Equity Capital Solutions at Cascadia.
“We couldn’t be more excited to have Michael as part of our team again,” added Peter Purcell, Co-head of Equity Capital Solutions. “He brings a level of creativity to capital formation processes that our sponsor clients seek amidst an increasingly competitive asset acquisition market.”
