• Window Installation Specialists, Inc. (“WIS”) is a premier glazing, waterproofing and window installation company that specializes in complex large-scale commercial projects
• Over the past 20+ years, WIS has had a strong reputation for quality and worked on many of the new construction high rises in the Pacific Northwest from Seattle down to Southern California

Situation

• For the last decade, Quest Window Systems, Inc. (“Quest”), a subsidiary of Canadian-listed Exchange Income Corporation (“EIC”), has been a key supplier and partner to WIS, and together they provide services under supply and install contracts
• Quest had a desire to further vertically integrate and sought to acquire WIS as the Company continued to gain market share in its regions
• Also, Quest had recently acquired a similar company on the East Coast and sought to expand its reach to the West Coast
• WIS engaged Cascadia to negotiate the initial offer and terms, support in the exclusive diligence process and guided towards a successful close
