Situation

• The family ownership group decided to pursue a sale based on inbound interest from several potential buyers.

• Several owners were active in management and desired to continue in executive roles with the company.

• Management had strong concerns about confidentiality in a highly-competitive market.

Cascadia Process

• Cascadia launched a limited M&A process focused on several key buyers where strategic rationale, cultural fit and financial wherewithal were apparent.

• Through a competitive bidding process with a small subset of buyers, Pac Paper was able to obtain an attractive valuation and terms for both the ownership group and continuing management.

• Pac Paper was acquired by Packaging Dynamics, a portfolio company of Kohlberg & Company.
