Closing the Valuation Gap Between Perception and Reality

Advising sellers on the issue of valuation in a transaction has, historically, been relatively straightforward. With a fair degree of precision, one could rely on data from the capital market, debt providers and equity financing sources to establish a range of the fundamental financial valuation for a company.

Utilizing other available tools, such as a discounted cash flow and synergy analysis, we could educate potential sellers with a reasonable level of confidence on what their asset might garner in a recapitalization transaction or strategic sale.

Recent market turbulence, a lack of transparency in transaction data and a myriad of assumptions with respect to growth prospects and tax code changes have made this task more difficult. Strategic Approach

The Middle Market Practice at Cascadia Capital uses an engagement approach based on long term relationships.  We work with  private and public middle market companies, often well in advance of a transaction, to educate and inform company CEOs, CFOs and shareholders of their full range of transaction alternatives – including selling, buying, raising debt (primarily subordinate or event driven debt), raising equity (growth or recapitalization), implementing an ESOP or maintaining the status quo. 

This process ensures company stakeholders have up-to-date knowledge of the current M&A and capital market dynamics, prevailing and relevant transaction metrics and an understanding of buyer or investor interest in their industry or segment.  All of these factors can then be incorporated into a strategic plan that will enable our clients to best prepare for and time a transaction event.
